Registering a limited partnership (cv)

You can register a limited partnership (commanditaire vennootschap, cv) in 3 steps. First, check whether you need to register and see if you meet the necessary criteria.

Step 1: prepare your registration

Fill in the digital registration form as completely as possible. This allows us to provide you with the best possible service when you visit an office to complete your registration. Make an appointment at one of the offices of the Netherlands Chamber of Commerce KVK (see step 2).

Do not use any punctuation marks in the field "Uw naam" (Your name): due to a technical problem, the email will then not be sent. The name can be changed by KVK upon registration.

You must also register the UBOs of your new organisation at the counter

UBOs (ultimate beneficial owners) are the ultimate beneficial owners of an organisation. Here you find information about how to determine who the UBOs of your organisation are and which documents you need in order to register UBOs.

Complete form 32 (registering UBOs for a general partnership, limited partnership, partnership, EEIG, or shipping company) beforehand and bring it with you to your appointment.

Step 2: make an appointment

Have you filled in the registration forms completely? After filling in your details, you must personally visit KVK to finalise your registration. This is only possible by appointment. You can register at any office.

Step 3: complete your registration

During your appointment, a KVK employee will check your identification and check whether you meet the registration criteria.

Costs for registration

  • You pay a one-off registration fee.
  • For a fee, you can immediately take a Business Register extract with you, which you can use as proof of registration. Some banks and wholesalers ask for an extract.
  • Payment is only possible with debit card, mobile, or credit card.

Exceptions

Exception 1: if all partners of the limited partnership are non-natural persons (such as a bv)

Then report the changes via the following forms.

  • Form 2: 'registration limited partnership'
  • Form 10: 'registration partner (vennoot)'
  • Form 32 (in Dutch): 'UBO registration for a limited partnership, general partnership, partnership, EEIG, or shipping company'

The forms state who may sign them and which supporting documents you may need to enclose. You do not have to come by in person.

Exception 2: if you change your legal form, for example from sole proprietorship to partnership

Then use the following forms:

  • Form 2: 'registration limited partnership'
  • Form 10: 'registration partner (vennoot)'
  • Form 14: 'change company and location data'
  • Form 32 (in Dutch): 'UBO registration for a limited partnership, general partnership, partnership, EEIG, or shipping company'

After completing the forms, you must visit KVK in person. This is only possible by appointment.
