How do I register a European legal structure?

A civil-law notary arranges the incorporation of a European legal structure for you. Usually, the civil-law notary then registers all the necessary information for the company with KVK. For example, for the KVK Business Register and the UBO register. This means you do not have to visit KVK as well.
When do I have to register a European legal structure?
All European companies with a branch in the Netherlands must register in the Business Register. There are 3 European legal structures:
- The European (SE)
- The European Cooperative (SCE)
- The European Economic Interest (EEIG)
Does the foreign company not have a branch office in the Netherlands, but does have business activities? Then you can register in the Business Register.
The process for the civil-law notary
The civil-law notary first draws up a deed of incorporation containing the articles of . This is official proof of incorporation. Then the notary takes care of the registration of the company and the UBOs in the Business Register. After registration, you can view and change your company details via My KVK.
Confirmation of registration
After registering in the Business Register, you will receive a letter by post with your KVK number. We will also send you an invoice for the one-off registration fee. These will be sent to the company’s postal address. You can also order an extract from the Business Register. You use this as proof of registration.
Do I have to register my company with the Tax Administration?
No, KVK will notify the Netherlands Tax Administration. The Tax Administration decides in which country you must pay tax. You will be notified of this by post within 2 weeks of the start date.
How do I file a tax return?
If you have to file your tax return in the Netherlands, you can do so via the Mijn portal. To use this, you need to log in with . There is a fee to apply for an eHerkenning account.
