Use Form 18 to add or change information for a form for the Business Register.

Limited authorisation of (managing) partners, or accountants of a rederij

You can use Form 18 to report the limited authorisation of:

  • vennoten (partners) in a VOF (general partnership);
  • beherende vennoten (managing partners) in a CV (limited partnership);
  • maten (partners) in a maatschap (professional partnership); or
  • the accountant of a rederij (shipping company).

This is only possible if the authorisation is documented in writing. Please enter the following details:

  • Name of the VOF, CV, maatschap, or rederij (partnership). Include the KVK number if the partnership is registered in the Business Register.
  • Is a partner or accountant a natural person? Write down their first name, or first names, and last name.
  • Is a partner, or accountant a Dutch partnership or legal entity? Write down the name and KVK number.
  • Is a partner or accountant a foreign company or legal entity? Write down the name and registration number in a foreign register. Also state the name, place, and country of that register.
  • Purpose and duration of the VOF, CV, maatschap, or rederij. Copy the text regarding the purpose and duration from the agreement and paste it into the text field on Form 18.
  • The scope of authorisation. Copy the text regarding the scope of authorisation from the agreement and paste it into the text field on Form 18.
  • All partners or members of the rederij must provide their name and signature on Form 18.

Making changes online

Are you changing the authorisation of (managing) partners or an accountant? You can also do so online.

Signing

Only one of the following persons may sign Form 18:

  • One of the partners, or members of the rederij.
  • Someone with the power of attorney to submit changes and registrations to the Business Register on behalf of the VOF, CV, rederij, or maatschap.
  • A civil-law notary.

Send by post or bring in person?

To register the limited authorisation, combine the following forms:

  • Form 18.
  • The document describing the authorisation.
  • A copy of a valid identity document of the official or authorised person who signed the form.
  • Form 10, 10a, or 16.

Forms 10, 10a, or 16 list which other documents and forms are required. They also state whether you need to make an appointment with KVK or send the documents by post.

Adding information about an authorised person

Use Form 18 to provide additional information about an authorised person if there is not enough space on Form 13. KVK requires the following information:

  • Name and KVK number of the eenmanszaak, partnership, or legal entity.
  • The additional information.

Signing

Only one of the following persons may sign Form 18:

  • One of the vennoten of the VOF, beherende vennoten of the CV, maten of the maatschap, members of the rederij, or managing directors of the legal entity.
  • An owner of an eenmanszaak.
  • A civil-law notary.
  • Someone with the power of attorney to submit changes and registrations to the Business Register.

Send by post or bring in person?

Attach Form 18 and a copy of a valid identity document of the official, owner of the eenmanszaak, or authorised person who has signed the form to Form 13. Form 13 lists which other documents and forms are required.

Authorisation of an official of a VVE or a foreign company or legal entity

You can use Form 18 to report the authorisation of managing directors of a VVE (owners’ association) or officials of a foreign company or legal entity. Please give the following details:

  • Name and KVK number of the VVE. Or the name of the foreign company or legal entity, the registration number in a foreign register, the name of that register, and the country.
  • Is the foreign official or the managing director of the VVE a natural person? The first name or first names and the last name of the official.
  • Is the foreign official or managing director of the VVE a Dutch partnership or legal entity? The name and KVK number.
  • Is the foreign official or managing director of the VVE a foreign company or legal entity? The name, the registration number in a foreign register, the name and location of that register, and the country.
  • The scope of the authorisation. Copy the text regarding the scope of the authorisation from the document or documents in which the authorisation is described. Paste that text into the field on Form 18.

Signing

Only one of the following persons may sign Form 18:

  • An official of the VVE or foreign company or legal entity.
  • Someone with the power of attorney to submit changes and registrations to the Business Register on behalf of the VVE or foreign company or legal entity. If the authorised person is not listed in the Business Register, they must register using Form 13 and attach this to Form 18.
  • A civil-law notary.

Send by post or bring in person?

To register the authorisation, combine the following forms:

  • Form 18.
  • The document describing the authorisation.
  • A copy of a valid identity document of the official or authorised person who signed the form.
  • Form 10, 11, 22, or 16.

Forms 10, 11, 22, or 16 list which other documents and forms are required. They also state whether you need to make an appointment with KVK or send the documents by post.

Submitting or changing liquidator details

Do you wish to submit or change the details of a liquidator? If so, please complete Form 18. Include the following details:

  • Name and KVK number of the legal entity for which the liquidator has been appointed.
  • The liquidator’s details. Please indicate if the details have changed or if you are appointing a new liquidator.

Is the liquidator a natural person? If so, KVK requires the following details of the liquidator:

  • Last name and first name or first names.
  • Their citizen service number (BSN).
  • Date of birth, place of birth, country of birth, and gender (male, female, other).
  • Residential address.
  • Whether the liquidator is solely authorised or jointly authorised.
  • A signature from the liquidator.

Is the liquidator a partnership or a legal entity? If so, KVK requires the following details from the liquidator:

  • Name of the partnership or legal entity.
  • KVK number. Or, in the case of a foreign partnership or legal entity, the registration number in a foreign register. Also state the name, place, and country of that register.
  • Visiting address.
  • Whether the liquidator is solely authorised or jointly authorised.
  • A signature and the last name and initials of an official signing on behalf of the partnership or legal entity.

Signing

Only one of the following persons may sign Form 18:

  • One of the managing directors of the BV, NV, coöperatie (cooperative), onderlinge waarborgmaatschappij (mutual insurance association), stichting (foundation), vereniging (association), or VVE (owners’ association).
  • Someone with the power of attorney to submit changes and registrations to the Business Register on behalf of the legal entity.
  • A civil-law notary.

Send by post or bring in person?

Send Form 18 and a copy of a valid ID of the official or authorised person who signed the form to KVK. You can find the postal address here.

Was the liquidator not a managing director of the legal entity at the time of dissolution? If so, you must also send the following proof:

  • Is the liquidator a natural person: a human being? Then please attach a copy of a valid ID document of the liquidator.
  • Is a partnership or legal entity the liquidator? In that case, please attach a copy of a valid identity document for the person signing on behalf of the partnership.
  • Is a foreign company or legal entity the liquidator? If so, please send a copy of a valid identity document for the person signing on behalf of the partnership. Please also include proof of registration abroad. This proof must state who is authorised to make decisions or sign on behalf of the company or legal entity.

Authorised person of a legal entity under public law

Use Form 18 to register an authorised person of a legal entity under public law. Enter the following details:

  • Name of the legal entity under public law. Provide the KVK number if the legal entity under public law is registered in the Business Register.
  • First name or first names and last name of the person receiving the power of attorney. Or the position for which the power of attorney applies.
  • Contents of the power of attorney.

Signing

Only one of the following persons may sign Form 18:

  • Someone with the power of attorney to submit changes to the Business Register. Please attach the document granting that power of attorney.
  • Member of a board.
  • For a municipality: mayor, alderman, or municipal secretary.
  • For a province: the King’s commissioner, provincial executives, or the provincial secretary.

Send by post or bring in person?

Are you only registering an authorised person? Then send Form 18, a copy of a valid identity document of the official or authorised person who signed the form, and any supporting documents to KVK. You can find the postal address here.

Are you registering a legal entity under public law or officials of a legal entity under public law? Then attach Form 18 to Form 25 or 26. You can see which other documents are required in the instructions for those forms.

Is the private-law power of attorney part of a broader arrangement involving public-law authorities (for example, signing extracts)? If so, please also send the power of attorney or mandate agreement along with the forms.

Class of shares

If there is not enough space on the form to specify the different classes of shares or not fully paid shares, please enter the following details on Form 18:

  • Name of the legal entity. Please provide the KVK number if the legal entity is registered in the Business Register.
  • Whether these are ‘not fully paid shares’, ‘issued capital’, ‘paid-up capital’, or ‘authorised capital’.
  • Below that, state the classes of shares for which there was no space. Specify the class, the amount, and the number. Also state the currency for the amount.

Signing

Only one of the following persons may sign Form 18:

  • A managing director of the BV, NV, SE, or SCE.
  • Someone with a power of attorney to submit changes and registrations to the Business Register on behalf of the BV, NV, SE, or SCE. If the authorised person is not listed in the Business Register, they must register using Form 13 and attach this to Form 18.
  • A civil-law notary.

Send by post or bring in person?

Attach Form 18 and a copy of a valid identity document of the official or authorised person who signed the form to Form 3, 19, 23, or 24. These forms will tell you what other documents are required. They will also indicate whether you need to make an appointment with KVK or send the documents by post.

Signatures of partners or members of a rederij upon dissolution

Is there is not enough space on Form 17 to enter all the names and signatures of the (managing) partners of a VOF, CV, or maatschap, or members of a rederij (shipping company) upon dissolution? Then the remaining partners or members should sign Form 18. Enter the following details:

  • Name and KVK number of the VOF, CV, maatschap, or rederij.
  • The name and handwritten signature (no copies or scans) of the partners or members who have not signed Form 17.

Signing

Only one of the following persons may sign Form 18:

  • One of the vennoten (partners) of a VOF, beherend vennoten (managing partners) of a CV, maten (partners) of a maatschap, or members of a rederij.
  • Someone with the power of attorney to submit changes and registrations to the Business Register on behalf of the VOF, CV, maatschap, or rederij. If the authorised person is not listed in the Business Register, they must register using Form 13 and attach this to Form 18.
  • A civil-law notary.

Send by post or bring in person?

Attach Form 18 and a copy of a valid identity document of the official or authorised person who signed the form to Form 17. That form will tell you what other documents are required. It will also state whether you need to make an appointment with KVK or send the documents by post.

Changing a UBO’s residential ad dress

Do you want to change a UBO’s foreign residential address to a private address in the Netherlands, or to another foreign address? If so, please enter the following details on Form 18:

  • Name and KVK number of the partnership or legal entity.
  • Last name and first name or first names of the UBO.
  • The UBO’s new address.

Signing

Only one of the following persons may sign Form 18:

  • An official of the partnership or legal entity.
  • A civil-law notary.
  • Someone with the power of attorney to submit registrations and changes to the Business Register on behalf of the partnership or legal entity.

Help with completing the form

Dates

The dates you enter on this form may also be in the future. KVK will ensure that they are visible in the Business Register from that moment onwards.

Address

The following rules apply to any address you enter on Form 18: KVK may only enter addresses in the Business Register that are listed in the Key Register of Addresses and Buildings (BAG, in Dutch). A residential address must also match the Personal Records Database (BRP) maintained by Dutch municipalities.

Use the BAG Viewer to check whether the address is correct in the BAG. Check the street name, house number, suffix (such as 24a or 24b), or designated use (such as retail premises). If something is incorrect, you can report the error on the BAG Viewer website.

The Business Register is linked to the Personal Records Database (BRP) of Dutch municipalities. If a residential address is missing or incorrect in the BRP, the municipality must first correct it. Otherwise, KVK cannot include the eenmanszaak’s registration in the Business Register. Only send this form to KVK once the correct details are listed in the BAG and BRP.
