Registering a BV or NV in formation

To register a BV or NV in the process of formation, you need a signed declaration from a civil-law notary. Usually, the notary takes care of the registration, but you can also do it yourself. Read about what is involved and what to look out for.
1. Complete the form
- Form 7: Registration besloten vennootschap / naamloze vennootschap in oprichting (private company, BV/ public limited company, NV, in formation
- Form 12: Registration other officials
If you are continuing a sole proprietorship as a BV, you must also complete the following form:
- Form 14: Change company and location data
Additional supporting documents
Bring a written statement from the civil-law notary stating that they are in the process of establishing the BV or NV. An email from the civil-law notary is not a statement. However, the notary can e-mail you a signed statement, on notarial letterhead, as an attachment. You print this statement. Instead of a written statement, you can also have the civil-law notary complete and sign the notarisverklaring (civil-law declaration) section of form 7.
No registration of UBOs
When registering a PLC or NV in formation, you do not register any UBOs. However, you do do this when converting a BV i.o. into a BV.Â
2. Make an appointment at KVK to complete your registration
Please note that if the official is a legal entity (such as a BV or NV), you do not need to visit. You can then send the form. The form states who may sign the form and what supporting documents you may need to enclose.
- You can make an appointment at any KVK office
- Plan your appointment well in advance. There may be waiting times at busy KVK offices
- Bring a  valid ID and the necessary forms and supporting documentsÂ
- You pay a one-time registration fee.Â
- You can order a KVK Business Register extract directly after you have registered. You can use this as proof of registration. Some banks and wholesalers ask for an extract.

The change is not correct
If the information you provide is not correct, we will contact you.
Changes for a date in the future
Are you submitting a change for a future date? Then you will only see the change in the Business Register on that date. For the UBO register, you cannot submit changes with an effective date in the future.Â
Confirmation
After your change has been processed in the Business Register and/or UBO register, you will receive confirmation by letter, or digitally via your Message account. Are you submitting the change online? Then you will also receive confirmation by email.
