Form 15: Change details of a legal person or partnership

Form 15 is used to notify the Business Register of changes relating to a legal entity or partnership. For example, if the amount of capital or the articles of association have changed.

Please note: when you fill in this English form digitally, the corresponding field in the Dutch form is filled in automatically. Sign, print, and send the completed Dutch form to KVK.

What is this form for?

You use Form 15 to report changes to a legal entity or partnership. A legal entity is, for example, a BV (private limited company), an NV (public limited company), a vereniging (association), or a stichting (foundation. A partnership is a VOF (general partnership), a Maatschap (professional partnership), a CV (limited partnership), or a Rederij (shipping company).

Use Form 15 to report the following:

  • A legal entity or partnership has a new name. You must also report a change to the trade name to the Netherlands Tax Administration.
  • The duration of a partnership has changed.
  • The limited partner's capital contribution (commanditair kapitaal) or the number of silent partners in a CV has changed.
  • The articles of association of a legal entity have changed.
  • The ‘also called’ name of a stichting or vereniging has changed.
  • The governance model of a legal entity has changed.
  • The articles of association of a vereniging have been incorporated into a notarial deed.
  • A legal entity has ceased to exist due to a legal merger or demerger.
  • The capital of a BV (private limited company), an NV (public limited company), or foreign legal entity has changed.

Use Form 14 for other changes.

Dates

The dates you enter on Form 15 may be in the future. KVK will ensure that the change is visible in the Business Register from that date onwards.

Which documents do you need to send?

Check which documents and forms you need to send. The questions below will help you with this.

Does a civil-law notary sign Form 15?

If a civil-law notary signs the form and sends the documents to KVK, you do not need to do anything.

What must you send in any case?

  • Form 15, completed and signed.
  • A copy of a valid identification of the person who signed Form 15. Make the photo unrecognisable.

Are you notifying a change to the articles of association of a legal entity?

Then send a certified copy of the notarial deed of amendment to the articles of association signed by the civil-law notary (not a photocopy). Also include a copy of the new articles of association.

Are you notifying a change to a two-tier company structure?

Please enclose a list of the supervisory directors. Use form 11 or form 22 for this purpose.

Has the management structure been changed by a resolution of, for example, shareholders, or directors?

Please enclose proof of that resolution. For example, the minutes of the general meeting. The directors must have signed the minutes.

Are the articles of association of a verenging included in a notarial deed?

If so, please enclose the deed signed by the civil-law notary (not a photocopy).

Has a legal entity ceased to exist as a result of a legal merger or demerger?

Please enclose the deed of merger or demerger (not a photocopy).

Will the business or establishment(s) be continued by a legal entity following a merger or demerger?

In that case, the legal entity must report this using form 9 or form 9a. Unless there are no activities at that address. But, for example, only holding activities.
