Form 5: Register a stichting, vereniging, or VvE

With form 5, you can register a stichting (foundation), vereniging (association), or VvE (owners' association) in the Business Register. You can also use this form to report that an informal vereniging has changed into a formal vereniging.

Why use this form?

Use Form 5 for:

  • Registering a stichting without a business.
  • Registering a stichting with a business.
  • Registering a formal or informal vereniging without a business.
  • Registering a formal or informal vereniging with a business.
  • Registering a VvE.
  • To report that an informal vereniging has been converted into a formal vereniging.

Dates

The dates you enter on this form may not be more than 2 months in the future. KVK will ensure that the stichting, vereniging, or VvE are visible in the Business Register as of that date.

Filling in address

The following rules apply to addresses entered on this form:

  • The address must be listed in the Basic Registration of Addresses and Buildings (BAG).
  • A residential address must also match the Personal Records Database (BRP) of the Dutch municipalities.

Use the BAG Viewer (in Dutch) to check whether the address of the company or legal person is correct in the BAG. This includes the street name, house number, addition (such as 24a or 24b), or designated use (such as retail premises). If something is incorrect, you can report the error on the BAG Viewer website.

The Business Register is linked to the Personal Records Database, (BRP) (in Dutch) of the Dutch municipalities. If your residential address is not listed in the BRP or is incorrect, you must first have it corrected by your municipality. 

If the address in the BAG or BRP is incorrect, KVK cannot enter the registration in the Business Register.Only send this form to KVK once the correct details are listed in the BAG and BRP.

Make an appointment or send by post?

Check whether you need to visit KVK or can send the documents by post. The following questions will help you settle this.

Does a civil-law notary sign form 5?

If the civil-law notary signs and sends the documents to KVK, you do not need to do anything.

Does a director sign Form 5? 

Is that director a natural person? Then they must make an appointment to visit KVK. Is a director signing on behalf of a company or organisation that serves as a director of the stichting, vereniging or VvE? In that case, give the documents to a director who must visit KVK to register as a director using form 11 or form 22. Are all directors companies or organisations? If so, you can mail the documents to the KVK.

Does a director who signs form 5 live abroad?

Then there are 3 possibilities:

  • The director visits KVK.
  • The director gives the documents to a person who has to visit KVK to register as a director using form 11 or form 22.
  • If no director has to visit KVK, you can send the documents by post.

Which documents do you need to bring or send?

Check which documents you need to bring or send to KVK. The questions below will help you with this.

What do you always need to bring or send?

  • Form 5
  • A copy of a valid identity document of the person who has signed form 5. Or, if sending the documents, a copy of a valid ID for the director who signed the form on behalf of the legal entity.

Have the agreements and rules for the vereniging or stichting been recorded by a notary?

In that case, KVK requires a copy of the notarial deed and the articles of association certified by the notary.

Were the agreements and rules for the vereniging drawn up without the assistance of a notary?

In that case, KVK requires a copy of those agreements and rules, such as the articles of association. All board members must initial each page of that document in pen and sign the last page (these cannot be copies or scans).

Was the VvE established before July 1, 2008?

In that case, KVK requires a copy of the deed of division certified by the board members.

Was the VvE established after June 30, 2008?

In that case, KVK requires a notarised copy of the deed of division (not a copy).

Does the VvE have its own rules?

If so, KVK requires a copy of the rules.

Are you registering a VvE, or a stichting or vereniging without a business?

If so, use form 22 to register the board members.

Are you registering a stichting or vereniging with a business?

Then use form 11 to register the directors.

Does the stichting, vereniging, or VvE not use a director’s home address as a visiting or mailing address? 

In that case, KVK requires  documentation proving that the stichting, vereniging, or VvE is authorised to use the specified visiting and mailing address.

Does the stichting or vereniging have a business?

If so, use form 8 to register the business.

Does the stichting or vereniging with a business have multiple establishments? 

If so, register each establishment using form 9.

Does the stichting or vereniging without a business have multiple establishments? 

If so, register each establishment using form 9a.

Do you want to register an authorised representative or authorised commercial agent for the stichting, vereniging, or VvE in the Business Register? 

Register that authorised representative or authorised commercial agent using form 13.

Has the stichting or vereniging taken over a business or establishment? 

In that case, the former owner of the business or branch must report this to KVK. For an eenmanszaak or establishment, this can be done using form 14. For a VOF, CV, rederij, or maatschap, this can be done using form 17. For a legal entity, this can be done using form 17a. KVK requires the original form.

Does the stichting or vereniging have ultimate beneficial owners (UBOs)? 

Use form 31 to register the UBOs for a stichting. Use form 33 to report UBOs for a vereniging. It is mandatory to report UBOs to the KVK.
