From bv to vof

Do you want to convert your bv to a vof? There are 2 possibilities: 1. you continue your company in a vof and the bv ceases to exist or 2. you continue the company in a vof and the bv also continues to exist in addition (for example, to manage assets). Complete the appropriate forms to make the change and then make an appointment with KVK.

Note: when taking over a company, the visiting address and at least 1 business activity must remain the same.

Forms for option 1: the bv ceases to exist

First, you need to dissolve the bv. Then fill in the forms below.

  • Form 17A: ‘dissolution of a legal entity'. All directors must agree to and sign point 5.1. Under point 6.2, indicate that you wish to transfer the business to the new owner.
  • Form 2: ‘vof (partnership) registration form'. 
  • Form 10: ‘Partner registration'. 
  • Form 32: ‘UBO registration form'. The form states which attachments you need to bring. 

Forms for option 2: the bv continues to exist

  • Form 2: ‘vof (partnership) registration form'. 
  • Form 10: ‘partner registration form'. 
  • Form 32: ‘UBO registration form'. The form states which attachments you need to bring. 
  • Form 14: 'change of business and branch details’ to transfer the business to a general partnership (point 9.1). 

Please also bring a valid ID to the appointment.

UBO register  

When you register a new company in the Business Register, you also have to register its UBOs. Find out who your organisation’s UBOs are. 

Additional supporting documents 

If a vof contract has been drawn up, please bring this contract to the appointment. The agreements made about the powers of the various partners are documented in the Business Register. 

Effective date 

We will finalise the transfer on the effective date. After the change/changes has/have been processed, you can immediately request a certified KVK Business Register extract

Tax numbers

Due to the change of legal form, the KVK number and VAT ID will also change. We will report this change in the Business Register to the Belastingdienst. If you employ staff, your payroll tax number will also change. To find out what to do, visit the website of the Netherlands Tax Administration

Registration fee 

To register the business with a new KVK number, the new owner must pay a registration fee.  If you do not have to schedule an appointment, we will send you a bill by post. 

Contracts 

Find out which contracts are in the bv’s name, including rental contracts, maintenance contracts, and insurance policies. Change the name on the contracts to the vof’s name.

Apply for DigiD via www.digid.nl. You need your citizen server number (BSN) to apply.

Do you live outside the Netherlands and do not have a DigiD? Check which situation applies to you.

- I have Dutch nationality. You can apply for a DigiD. The DigiD website tells you how to do this.
- I do not have the Dutch nationality, but the nationality of a country within the European Economic Area (EEA). First register with the Non-Residents Records Database (RNI). After registration with the RNI, you will immediately receive a citizen service number (BSN) and can apply for a DigiD. The DigiD website tells you how to do this.
- I have a nationality outside the European Economic Area (EEA). Then you cannot use DigiD. Do you need a DigiD to make an appointment to register your sole proprietorship or general partnership (vof)? If so, please call 088-585 15 85.

If you have forgotten your DigiD username, you must request a new DigiD. You can do this via the DigiD website.
