From bv to vof

Read how to transfer your bv to a vof (general partnership), what is involved, and what you should pay attention to.

Step 1: Fill in forms

Please choose your situation:

1. The bv ceases to exist

First, you need to dissolve the bv. Then fill in the forms below.

  • Form 17A: ‘dissolution of a legal entity'. At 5.3, report the transfer of the bv to the vof. Include the dissolution decision as well
  • Form 2: ‘vof (partnership) registration form'
  • Form 10: ‘Partner registration'
  • Form 32: ‘UBO registration form'. The form states which attachments you need to bring

2. The bv continues to exist

Fill in these forms:

  • Form 2: ‘vof (partnership) registration form'
  • Form 10: ‘partner registration form'
  • Form 32: ‘UBO registration form'. The form states which attachments you need to bring
  • Form 14: 'change of business and branch details’ to transfer the business to a vof (point 9.1)

Does the bv have branches or an authorised representative?

You must register these with the vof.

  • Form 9: 'Company branch (with commercial activities)'
  • Form 13: 'Authorised representative'

Step 2: Make an appointment

Bring the following items to your appointment at KVK:

Registration fee

A registration fee applies for registering the company with a new KVK number. If it is not neccesary for you to come by in person, you will receive an invoice by post. 

UBO register

KVK will deregister the UBOs when the bv ceases to exist. You do not have to deregister the UBOs yourself.

Additional supporting documents 

We ask for additional supporting documents. For example, a lease agreement for business premises or a franchise agreement.

Visiting address and business activity

When taking over a company, the visiting address and at least 1 business activity must remain the same.

Effective date 

We will finalise the transfer on the effective date. After the change/changes has/have been processed, you can immediately request a certified KVK Business Register extract

Netherlands Tax Administration

Due to the change of legal form, the KVK number and VAT ID will change. We will pass on this change in the Business Register to the Belastingdienst (Netherlands Tax Administration). Do you have staff? Then the payroll tax number also changes. Read what you should do in this case on the website of Belastingdienst (in Dutch). 

Contracts 

Find out which contracts are in the bv’s name, including rental contracts, maintenance contracts, and insurance policies. Change the name on the contracts to the vof’s name.
